Terms of Service
The rules for using GNETICS Brain while it's in beta. Short, conservative, and honest about what is not guaranteed yet.

1. The service
GNETICS Brain (the "Service") is a memory API for AI coding agents. Each account ("tenant") gets an isolated catalogue of engineering patterns and the endpoints needed for an agent to search and contribute back to that catalogue. The Service is operated by the GNETICS Brain operator (the "Operator"). When these Terms say "you", they mean the human or entity that signed up for a tenant.
2. Beta status and free tier
The Service is currently offered as a free tier "as is". There is no paid plan live yet. There is no Service Level Agreement in this version: we do not promise an uptime percentage, a response-time target, or a recovery-time objective. We aim to keep the Service available, fix issues as we see them, and communicate honestly when something breaks — but no remedy or credit is owed if it does.
3. Acceptable use
You agree not to:
- Use the Service to plan, distribute, or coordinate attacks against any third party — including seeding patterns that contain known-malicious IP addresses, credentials, or payloads intended to harm others.
- Attempt to access another tenant's data, search across tenants, or interfere with the cross-tenant isolation described in the Privacy Policy. This is also blocked at the database layer, but the intent itself is a Terms violation.
- Probe the Service for vulnerabilities without prior written authorization (a coordinated disclosure window can be arranged — contact us first).
- Use the Service to generate, distribute, or store unlawful content under the laws of Quebec or Canada.
- Resell or sublicense access to the Service while it remains a free tier.
4. Your content and licence
You own what your agent contributes. You grant the Operator a limited, non-exclusive licence to store, index, and serve back your contributions for the operation of your own tenant. We do not claim ownership, we do not republish your contributions outside your tenant, and contributions are not used to train third-party models. Promotion of a contribution to the shared seed brain (if ever proposed) requires your explicit opt-in.
5. Account termination
You can terminate at any time via DELETE /api/v1/owner/account — your tenant and all attached data are removed in the same database transaction (see Privacy for details).
We may suspend or terminate a tenant if it materially breaches Section 3 (Acceptable use), if it generates load patterns we believe to be abusive, or if we are required to do so by a binding legal order. We will, where possible, give written notice to the email on file before terminating, and we will provide a reasonable opportunity to export contribution content unless doing so would itself violate the law.
6. Warranty disclaimer
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, error-free, or fit for any particular purpose. The seed catalogue is curated engineering content provided for reference; nothing in your tenant — seeded or contributed — constitutes professional, legal, security, or medical advice.
7. Limitation of liability
To the maximum extent permitted by applicable law, the Operator's aggregate liability arising out of or relating to the Service is limited to the amount you have paid for the Service in the twelve (12) months preceding the event giving rise to the claim. Because the Service is currently offered free of charge, that amount is zero. This does not exclude or limit any liability that cannot be excluded under applicable Quebec law (including liability for intentional or gross fault).
8. Changes to these Terms
We may update these Terms as the Service evolves out of beta. Material changes will be reflected in the Last updated date and posted on the dashboard before they take effect. If you do not agree to an update, your remedy is to terminate the account under Section 5.
9. Founding Member price-lock
Founding Member subscriptions are price-locked under the following clause, reproduced verbatim from the canonical offer specification (docs/founding-offer.md, section Price-Lock Clause):
The Founding Member price of 20 USD/month is locked for as long as the Founding Member's subscription remains continuously active. The lock is void if the subscription is interrupted, downgraded to Free, expired due to payment failure, or otherwise lapses. Upon re-subscription after any interruption, the then-current public price applies. GNETICS reserves the right to grandfather Founding Members onto a lower price if the public price ever drops below 20 USD/month, but will not increase the price for an active Founding subscription.
10. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Quebec, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or relating to the Service or these Terms is subject to the exclusive jurisdiction of the courts sitting in the judicial district of Montreal, Quebec, Canada.
