Terms of Service
The legally binding terms between you and Technologies GNETICS Inc. for your use of OPS GNETICS.

Preamble
These Terms of Service (the "Terms") form a legally binding agreement between you (the "Client", "User" or "you") and Technologies GNETICS Inc. ("GNETICS", "we", "our"), the entity operating the OPS GNETICS platform at ops.gnetics.ca and based in the province of Québec, Canada. They govern your access to and use of all products and services offered through the platform (collectively, the "Services"). By creating an account, subscribing to a product, making a payment, or connecting an agent to the platform, you acknowledge that you have read, understood and accepted these Terms in full.
Article 1. Acceptance and contractual commitment
By signing up, subscribing to any product, making a payment, or using any API or tool of the platform, you acknowledge these Terms and undertake to comply with them fully. This commitment is enforceable. If you do not accept one or more clauses, you must refrain from using the Services. You must have full legal capacity to contract; if you act on behalf of a legal entity, you warrant that you have authority to bind it, and the Terms then apply both to you and to that entity.
Article 2. Definitions
"GNETICS" means Technologies GNETICS Inc., operating OPS GNETICS. "Services" means the products below and any related feature. "Tenant" means the isolated account and data space attached to a subscription. "Owner token" and "agent key" mean the two credentials that authenticate, respectively, the human owner and the AI agent. "Subscription" means a recurring monthly plan for a given product. "Passive scan" means a read-only, non-intrusive security assessment. "Build sandbox" means an isolated per-tenant server environment.
Article 3. The products
OPS GNETICS offers independent products. OPS Business, OPS Build and OPS Security are 50 USD / month each (or bundled, see Article 8). OPS Media starts at 25 USD / month. OPS Memory and OPS Profile are included with any paid product:
- OPS Memory — a persistent external memory your agent searches before acting and enriches after, via API.
- OPS Business — watermarked prospection & execution playbooks delivered to your agent by your key.
- OPS Build — an isolated server sandbox where your agent builds and runs code, with controlled network egress and an encrypted secrets vault.
- OPS Security — a passive, legal security scan of your own website (see Article 5), with a monthly scan quota and a PDF report.
- OPS Media — social-content generation (text, image, video) and content calendar, accessible through your account.
- OPS Profile — your brand profile and product catalog, reused across your other products.
The detailed features, scopes and prices are set out on the platform and in the public catalog, which is the single source of truth for pricing.
Article 4. Access model — subscriptions and credentials
Each product is opt-in and independent. A product to which you are not subscribed is shown locked and is not accessible until purchased; access unlocks upon successful payment. Products such as OPS Memory and OPS Business are consumed by your own agent using your agent key — you keep your agent and your data. You are responsible for keeping your owner token and agent key confidential; they cannot be recovered, only rotated on request. Activity performed with your credentials is deemed to be yours.
Article 5. OPS Security — passive and legal only
OPS Security performs passive, read-only assessments (security headers, TLS, technology exposure, exposed files/directories, DNS anti-spoofing) using only GET/HEAD requests and certificate reads. It performs no active, intrusive or exploit testing. You may scan only a domain you own: you must prove ownership once per domain (automatic if your account email matches the domain, otherwise via a DNS TXT record or a /.well-known file). You warrant that you own or are authorized over any domain you submit, and you indemnify GNETICS against any claim to the contrary. Security results are informational and reflect the state of the site at the time of the scan; they do not guarantee the permanent absence of vulnerability.
Article 6. OPS Build and OPS Media — nature of the environments
OPS Build provides access to a maintained, isolated sandbox environment; it is a hosted environment, not a standalone deliverable. Your application code running inside it is yours. OPS Media is operated through a connected content platform; access is provisioned to your account and its generation quotas are those of your plan. Third-party AI model availability and pricing may change; where a model is discontinued, we may substitute an equivalent and adjust quotas accordingly.
Article 7. Billing, currency, renewal and refunds
Payments are processed by our provider Stripe, Inc. (PCI-DSS compliant); no full card data is stored on GNETICS servers. Prices are displayed in US dollars (USD), excluding any applicable taxes, which are calculated and added at payment. Subscriptions are billed monthly and renew automatically at the end of each period unless cancelled beforehand. You may cancel at any time; cancellation stops future renewals and access ends at the close of the paid period. Save for mandatory legal provisions to the contrary, amounts already paid for a started billing period are non-refundable.
Article 8. Bundles — 3-of-your-choice and all-6
A discounted bundle is offered: OPS Business + OPS Build + OPS Security for 100 USD/month (instead of 150). OPS Memory and OPS Profile are included with any paid product and are never billed separately. Bundle selection excludes products you already own: you cannot be charged twice for a product already active on your account.
Article 9. Intellectual property
The platform source code, technical components, the seeded pattern catalog, the OPS Business playbooks (which are watermarked and licensed for your use), the security engine, methodologies, interfaces and logos remain the exclusive property of GNETICS or its licensors. A subscription grants you a limited right to use the corresponding product within these Terms, not a transfer of ownership of the underlying technology. You retain full ownership of the content, data and contributions you provide, and grant GNETICS a limited licence, for the duration of the service, solely to operate the requested product (store, index, serve back within your tenant). Contributions are not used to train third-party models and are not republished outside your tenant.
Article 10. Acceptable use and prohibited conduct
You agree to use the Services lawfully and in good faith. You shall not:
- attempt to access another tenant's data or defeat the cross-tenant isolation enforced at the database layer;
- submit for scanning any domain you do not own or are not authorized over, or attempt to use OPS Security against third parties;
- publicly redistribute the watermarked OPS Business playbooks or attempt to extract the underlying prompts;
- host or distribute unlawful, infringing, defamatory or harmful content, or seed patterns containing malicious payloads or credentials;
- bypass technical protections, quotas or billing, or reverse-engineer the platform;
- resell or sublicense access without our prior written agreement.
Article 11. Warranties, limits and disclaimers
GNETICS acts under an obligation of means, not of result: it deploys its best efforts toward the quality, availability and security of the Services, without guaranteeing uninterrupted 100% availability or the total absence of bug, error or vulnerability. The Services may be temporarily unavailable for maintenance or due to failures of third-party providers (hosting, payment gateway, AI model providers, email) over which GNETICS has no direct control. Nothing in your tenant — seeded or contributed — constitutes professional, legal, security or medical advice.
Article 12. Limitation of liability and indemnification
To the fullest extent permitted by applicable law, GNETICS's total liability for any contractual, tort or statutory breach shall not exceed the amount actually paid by you during the twelve (12) months preceding the triggering event. GNETICS shall not be liable for indirect, consequential, incidental or special damages, including loss of profits, revenue, business opportunities, reputation or data. These limitations do not apply in case of gross or intentional fault, nor where the law prohibits such limitation. You undertake to indemnify and hold GNETICS harmless from any third-party claim arising from your breach of these Terms, your unlawful use of the Services, or the content you provide or publish.
Article 13. Suspension, termination and deletion
You may cancel your subscriptions at any time, and you may delete your tenant and all attached data from Settings → Danger zone (an irreversible, single-transaction deletion). GNETICS may suspend or terminate access in case of: non-payment after several failed billing attempts; breach of Article 10, in particular the ownership requirement for scanning; abusive, fraudulent or platform-harming behavior; or a binding legal order. Where possible, prior written notice is given to the email on file; in an emergency (manifest illegality, serious security breach), suspension may apply without notice.
Article 14. Force majeure
Neither party is liable for a breach resulting from an unforeseeable, irresistible event beyond its control, including natural disasters, pandemics, armed conflicts, large-scale cyberattacks, major failures of telecommunication or hosting infrastructure, or decisions of public authorities making performance impossible.
Article 15. Personal data
Personal data is processed in accordance with Québec's Law 25 (Act respecting the protection of personal information in the private sector). GNETICS collects only the data necessary to provide the Services, protects it with appropriate measures, and does not disclose it to third parties other than strictly necessary subprocessors (hosting, payment), themselves bound to an equivalent level of protection. You have rights of access, rectification and withdrawal. Full details are in the Privacy Policy.
Article 16. Changes, assignment and notices
GNETICS may amend these Terms to reflect the evolution of the Services or the legal framework; for a substantial change, reasonable notice is given by email or on the dashboard, and continued use after the effective date constitutes acceptance. You may not assign your rights without our prior written agreement; GNETICS may assign its own in a reorganization, merger or business transfer without harming your substantial rights. Notices to you are validly made by email to the address on file; notices to us must be sent to contact.gnetics@gmail.com.
Article 17. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Québec, Canada and the federal laws of Canada applicable therein, to the exclusion of conflict-of-law rules. Any dispute is subject to the exclusive jurisdiction of the courts sitting in the judicial district of Montréal, Québec, the parties undertaking first to attempt an amicable resolution. If a provision is held invalid, the others remain fully applicable.
